Unified Financial Bridge for Professional Practice Management
By creating an account, installing the Janus browser extension, or otherwise accessing or using the Janus platform and associated services (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must immediately cease using the Services.
Janus Gateway LLP provides a secure financial intelligence and data synchronization platform designed for professional practice operators in regulated industries, including but not limited to healthcare (clinical) and legal practices. The Services include:
We reserve the right to modify, suspend, or discontinue any feature of the Services at any time with reasonable notice.
To use the Services, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. Access is granted on an invitation-only basis. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to provide accurate, current, and complete information and to promptly update such information as necessary. Janus Gateway LLP reserves the right to suspend or terminate accounts that contain inaccurate or misleading information.
Subject to these Terms, Janus Gateway LLP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes in connection with your professional practice management.
This license does not include the right to sublicense, sell, resell, transfer, assign, or otherwise exploit the Services for any commercial purpose other than as expressly permitted herein.
You agree not to, and not to permit others to:
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of your practice's financial data. By using the Services, you grant Janus Gateway LLP a limited license to process your data solely to provide the Services.
You are solely responsible for ensuring your use of the Services complies with applicable data protection laws, including HIPAA (for clinical users) and ABA Rule 1.6 (for legal users).
Access to the Services may be subject to subscription fees as agreed upon in your service agreement with Janus Gateway LLP. All fees are non-refundable unless otherwise stated in writing. We reserve the right to modify pricing with 30 days' written notice. Subscription charges are collected by 2Brunettes LLC, the holding company for the Janus apps, on behalf of Janus Gateway LLP, so your card statement may show 2Brunettes.
Failure to pay applicable fees may result in suspension or termination of access to the Services.
The Services, including all software, algorithms, designs, trademarks, and documentation, are the exclusive property of Janus Gateway LLP and 2Brunettes LLC (as technical developer). All rights not expressly granted herein are reserved.
Any feedback, suggestions, or improvements you provide regarding the Services may be used by Janus Gateway LLP without obligation or compensation to you.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Janus Gateway LLP does not warrant that the Services will be uninterrupted, error-free, or free from viruses or other harmful components. Financial data and reports generated by the Services are for informational purposes only and do not constitute financial, legal, or accounting advice.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JANUS GATEWAY LLP AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Janus Gateway LLP, 2Brunettes LLC, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any applicable law or third-party rights.
Either party may terminate access to the Services with 30 days' written notice. Janus Gateway LLP reserves the right to immediately suspend or terminate your access without notice if you materially breach these Terms, engage in fraudulent activity, or if required by applicable law.
Upon termination, your license to use the Services will immediately cease. Provisions that by their nature should survive termination (including intellectual property, disclaimer, limitation of liability, and indemnification) shall survive.
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions. Any dispute arising under these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Reviewed" date above and, where appropriate, notifying you via email or in-platform notification. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
The Janus Gateway platform integrates with certain third-party services to deliver its functionality, including but not limited to QuickBooks Online (QBO) by Intuit Inc. and Jane App. By using the Services, you authorize Janus Gateway LLP to connect to these third-party platforms on your behalf, solely to the extent necessary to provide the Services you have requested.
